These Terms and Conditions govern your use of the KenyaVault platform and constitute a legally binding agreement between you and KenyaVault.

1. Definitions & Eligibility
1.1 Definitions
In these Terms and Conditions, the following definitions apply:
"KenyaVault" or "Platform" refers to the website, mobile application, and all associated services operated by KenyaVault at kenyavault.com.
"Vendor" or "Creator" refers to any teacher, examiner, content creator, or educator who uploads and sells digital educational resources on the Platform.
"Buyer" or "Customer" refers to any individual, parent, student, teacher, or institution that purchases or downloads resources from the Platform.
"Digital Product" or "Resource" refers to all downloadable educational materials including but not limited to: examination papers, lesson plans, schemes of work, revision booklets, worksheets, study guides, and any other educational content offered on the Platform.
"Content" refers to all text, images, documents, and other materials available on the Service.
"Purchase" refers to any transaction made through the Service for Digital Products.
1.2 Eligibility
Age Requirement: You must be at least 18 years old to create an account or make purchases on KenyaVault. If you are under 18, you must have parental or guardian consent to use the Platform.
Legal Capacity: By using KenyaVault, you confirm that you have the legal capacity to enter into a binding contract.
International Users: Users outside Kenya are welcome to use the Platform but are responsible for complying with their local laws and regulations.

2. Intellectual Property & Piracy
2.1 Ownership of Content
Vendor Ownership: All Digital Products uploaded by Vendors remain the intellectual property of the respective Vendor or Creator.
Platform License: By uploading content, Vendors grant KenyaVault a non-exclusive license to host, display, and distribute the Digital Products on the Platform.
Buyer License: When you purchase a Digital Product, you are granted a non-exclusive, non-transferable, personal license to access, view, and use the product for personal or educational purposes only.
2.2 Prohibited Uses
🚫 STRICTLY PROHIBITED: Buyers shall NOT:
Resell, redistribute, or share purchased Digital Products with others
Upload purchased files to any other website, platform, WhatsApp group, Telegram channel, or public drive
Modify, edit, or create derivative works from purchased content
Use purchased content for commercial purposes without explicit permission
Share download links with anyone else
2.3 Penalties for Copyright Infringement
KenyaVault takes intellectual property protection very seriously. Violations will result in:
Immediate Account Termination: Your account will be permanently suspended
Legal Action: KenyaVault reserves the right to pursue legal action under the Kenya Copyright Act (2001) and applicable international copyright laws
Financial Penalties: You may be liable for damages, legal costs, and statutory penalties
Reporting: We may report violations to relevant authorities and educational institutions
⚖️ Kenya Copyright Act: Copyright infringement in Kenya carries penalties including fines up to KES 100,000 and/or imprisonment for up to 5 years (Section 40, Kenya Copyright Act 2001).
2.4 Take-Down Policy (DMCA-Style)
If you believe that your copyrighted work has been uploaded to KenyaVault without your authorization, please submit a take-down notice to adminnexalearn@gmail.com containing:
Your contact information (name, address, phone, email)
Identification of the copyrighted work you claim has been infringed
Identification of the material to be removed (URL or description)
A statement of good faith belief that the use is unauthorized
A statement, under penalty of perjury, that the information is accurate
Your electronic or physical signature
Upon receipt of a valid take-down notice, KenyaVault will:
Remove or disable access to the allegedly infringing material within 48 hours
Notify the Vendor who uploaded the content
Provide the Vendor an opportunity to submit a counter-notice

3. Digital Products & No-Refund Policy
3.1 Nature of Digital Products
All products sold on KenyaVault are digital downloads. You are purchasing a digital file that can be downloaded and accessed immediately upon payment.
Due to the digital and non-tangible nature of these products, ALL SALES ARE FINAL. Once a file has been downloaded or accessed, we cannot "return" or "un-download" the product.
3.2 No-Refund Policy
⚠️ NO REFUNDS: KenyaVault does not offer refunds, exchanges, or cancellations for Digital Products once they have been downloaded or accessed.
By making a purchase on KenyaVault, you acknowledge and agree that:
You have read the product description and understand what you are purchasing
You have the necessary software to open and use the purchased files
You are aware that digital products cannot be returned
3.3 Exceptions
Refunds may be considered ONLY in the following exceptional circumstances:
Corrupted Files: The downloaded file is completely corrupted or unreadable, and we are unable to provide a working version
Incorrect Item: You received a product that is completely different from what was described in the listing
Platform Error: A technical error on KenyaVault's platform caused duplicate charges or incorrect delivery
All refund requests must be submitted within 7 days of purchase and will be reviewed on a case-by-case basis.

4. Local & International Payment Terms
4.1 Payment Processing
KenyaVault uses secure, third-party payment gateways to process all transactions:
Local Payments (Kenya): Safaricom M-PESA STK Push via Megapay (or equivalent payment partner)
International Payments: Credit/Debit cards and PayPal via Stripe and PayPal
🔒 Secure Processing: All payments are processed through PCI-DSS compliant gateways. KenyaVault does not store your payment credentials, M-PESA PIN, or financial account information.
4.2 Vendor Commission & Fees
When a Vendor sells a Digital Product on KenyaVault, the following fees apply:

Vendor Payout: Vendors receive [Insert Payout %] of the sale price after deductions

Vendor Payouts: Payments are processed monthly, on the 15th of each month

Payout Methods: M-PESA (Kenya), Bank Transfer, or PayPal (International)
Earnings Tracking: Vendors can track sales and earnings in their dashboard
4.4 Tax Responsibilities
📋 Tax Compliance: Vendors are responsible for:
Declaring income earned through KenyaVault to the Kenya Revenue Authority (KRA)
Paying any applicable withholding taxes or digital service taxes
Maintaining accurate records of sales for tax purposes

5. User Accounts & Conduct
5.1 Account Creation
By creating an account on KenyaVault, you agree to:
Provide accurate, current, and complete information
Maintain the security of your account credentials
Promptly update any changes to your information
Notify us immediately of any unauthorized use
Be responsible for all activities under your account
5.2 Prohibited Conduct
You agree NOT to use KenyaVault to:
Violate any applicable laws or regulations
Infringe on the intellectual property rights of others
Post, upload, or transmit harmful, offensive, or malicious content
Attempt to gain unauthorized access to our systems
Interfere with the proper functioning of the Service
Engage in any fraudulent activity
Harvest, collect, or store personal information of other users
Upload content that violates the rights of others

6. Vendor Terms & Commission
6.1 Vendor Responsibilities
By becoming a Vendor on KenyaVault, you agree to:
Upload only original content that you have the rights to sell
Ensure all resources are accurate and of high quality
Provide accurate descriptions and proper categorization
Respond to buyer inquiries in a timely manner
Comply with all applicable laws and regulations
6.2 Content Approval
All resources uploaded by Vendors are subject to review and approval by KenyaVault's moderation team:
Resources must be original and not plagiarized
Resources must align with Kenyan curriculum standards (CBC, 8-4-4, etc.)
Inappropriate, offensive, or low-quality content will be rejected
KenyaVault reserves the right to remove any content without prior notice
6.3 Vendor Commission Structure
KenyaVault charges a commission on each sale made through the Platform:

KenyaVault reserves the right to terminate Vendor accounts for:

7. Limitation of Liability & Disclaimer
7.1 Disclaimer of Warranties
KenyaVault provides the Service "as is" and "as available" without warranties of any kind:
We do not guarantee the academic accuracy, grading results, or government curriculum alignment of user-uploaded materials
We do not warrant that the Service will be uninterrupted or error-free
We do not guarantee that content will meet your specific needs
We are not responsible for any decisions made based on content found on the Platform
⚠️ Educational Use Only: Resources on KenyaVault are provided for educational purposes. Users are encouraged to verify critical information independently.
7.2 Limitation of Liability
To the fullest extent permitted by law, KenyaVault and its affiliates, directors, employees, and partners shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, or business opportunities
Loss of data or content
Any damages resulting from your use of or inability to use the Service
Server downtime or temporary inability to download files
Loss or corruption of user data
In any case, KenyaVault's total liability shall not exceed the amount paid by you for the product giving rise to the claim.
7.3 Third-Party Content
KenyaVault is a marketplace and does not:
Guarantee the accuracy or quality of user-uploaded content
Assume responsibility for the actions or content of Vendors
Endorse any specific Vendor or Resource

8. Indemnification
You agree to indemnify, defend, and hold harmless KenyaVault and its affiliates, directors, employees, and partners from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any content you submit or transmit through the Service
Your violation of applicable laws or regulations
9. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya, including but not limited to:
The Kenya Data Protection Act (2019)
The Consumer Protection Act (2012)
The Kenya Copyright Act (2001)
The Kenya Information and Communication Act (1998)
The Competition Act (2010)
The Income Tax Act (Cap 470)
⚖️ Jurisdiction: Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya. For international users, disputes shall be settled in accordance with Kenyan law.
KenyaVault encourages amicable resolution of disputes. The following process shall apply:
Informal Resolution: Users are encouraged to contact adminnexalearn@gmail.com to resolve disputes informally within 30 days
Mediation: If informal resolution fails, parties may attempt mediation through a neutral mediator agreed upon by both parties
Arbitration: If mediation fails, disputes shall be settled through binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (Cap 49)
Court Proceedings: If arbitration is not successful, disputes shall be resolved in the courts of Kenya
📋 Consumer Protection: Kenyan consumers have the right to lodge complaints with the Competition Authority of Kenya or the Kenya Bureau of Standards (KEBS) regarding unfair trade practices.
KenyaVault reserves the right to terminate or suspend your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:
Violation of these Terms
Fraudulent or illegal activity
Failure to comply with payment obligations
Excessive or abusive use of the Service
Copyright infringement or piracy
Harassment or abuse of other users
Upon termination, all provisions of these Terms that by their nature should survive termination shall survive.
12. Changes to Terms
KenyaVault reserves the right to modify these Terms at any time. We will notify users of significant changes by:
Posting the updated Terms on this page
Updating the "Last Updated" date at the top
Notifying registered users via email or WhatsApp
Displaying a notice on the Platform
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
